Artdez Studio (“Artdez,” “we,” “our,” or “the Studio”) provides an online platform for viewing and purchasing original artworks created or curated by Artdez Studio’s selected artists. These Terms of Use (“Terms”) govern your access to and use of the Artdez Studio website, accessible at www.artdezstudio.com (“Site”), and any related services, tools, features, or functionality provided by Artdez Studio (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

1. Scope of Services

Artdez Studio operates as a private art gallery and studio. Our Services include:

• Displaying original artworks created or owned by Artdez Studio and Selected Artists.
• Offering artworks for purchase directly from Artdez Studio
• Providing information about our collections, exhibitions, and studio operations

We do not permit third‑party artists, sellers, or individuals to list, upload, or sell artwork on our platform. All artworks displayed on the Site are exclusively curated, owned, or created by Artdez Studio’s artists.

2. Modifications to Terms

We may modify these Terms at any time. Updated Terms will be posted on the Site with a revised “Last Updated” date. Continued use of the Services after changes indicates acceptance of the updated Terms.

3. Modifications to Services

We may change, update, restrict, or discontinue any part of the Services at any time without notice. This includes:

• Changing the Site URL
• Removing or updating artworks
• Adjusting content, descriptions, or pricing
• Correcting typographical errors or inaccuracies

We are not obligated to update any information except as required by applicable law.

4. Eligibility

The Services are intended for individuals 18 years of age or older. By using the Services, you represent that you are at least 18.

5. Account Registration (If Applicable)

Some features may require creating an account. When registering, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your password
• Accept responsibility for all activity under your account

We may suspend or terminate accounts containing inaccurate or incomplete information.

6. Purchasing Artwork

All artworks available on the Site are sold directly by Artdez Studio. By purchasing through the Site, you agree to:

• Provide accurate billing and shipping information
• Ensure payment authorization
• Comply with all applicable laws regarding online purchases

Prices are listed without VAT, as Artdez Studio does not charge VAT.

7. Prohibited Conduct

You agree NOT to:

• Attempt to upload, list, or sell artwork on the Site
• Copy, reproduce, or commercially exploit any artwork or images without written permission
• Interfere with the Site’s functionality or security
• Use the Services for unlawful or unauthorized purposes

8. Intellectual Property

All artworks, images, descriptions, branding, and content on the Site are the exclusive property of Artdez Studio. You may not reproduce, distribute, or use any content without explicit written authorization.

9. Privacy

Please review our Privacy Policy for information on how we collect, use, and protect your personal data.

10. Agreement to Arbitrate & Waiver of Class Action

You agree that any dispute arising out of or relating to your use of the Services or purchase of artwork will be resolved through binding individual arbitration, rather than in court.

This means:

• No judge
• No jury
• Limited court review

If you wish to opt out of arbitration, you must follow the procedures outlined in our Arbitration Notice below.

Arbitration Opt‑Out Notice: If you do not wish to be bound by the Arbitration Agreement contained in the Artdez Studio Terms of Use, you may opt out. To do so, you must submit a written opt‑out request within 30 days of the date you first accessed or used the Artdez Studio Services.

Your opt‑out request must include:

• Your full legal name
• Your email address associated with your Artdez Studio purchase or account
• A clear statement that you wish to opt out of the Arbitration Agreement

Opting out of arbitration does not affect any other terms or conditions of the Artdez Studio Terms of Use. If you do not submit an opt‑out request within the required time period, you will be deemed to have agreed to the Arbitration Agreement.

11. Class Action Waiver

You agree to resolve disputes individually, and not as part of any class, collective, or representative action. You waive any right to participate in a class action lawsuit or class arbitration.

12. Waiver of Jury Trial

Regardless of whether arbitration applies, you waive your right to a trial by jury for any dispute related to the Services.

13. Termination

We may suspend or terminate your access to the Services at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Services immediately ceases.

 
Artdez Studio – Purchaser Terms and Conditions

1. Purchases of Original Works of Art

All Original Works of Art available on the Artdez Studio website (“Site”) are sold exclusively by Artdez Studio. Prices for Original Works of Art are listed on each product page and do not include shipping and handling charges unless specifically stated.

Artdez Studio does not charge VAT. Utah sales tax may apply to orders shipped within the state of Utah.

Artdez Studio collects your billing and shipping information and processes your payment securely through our authorized payment processor. Certain artworks—such as oversized canvases, framed pieces, or mixed‑media works—may require additional shipping charges or special packaging arrangements. These will be communicated prior to checkout.

All Original Works of Art are shipped directly from Artdez Studio. Each artwork includes a Certificate of Authenticity issued by Artdez Studio.

All purchases are subject to Artdez Studio’s current Return & Refund Policy.

2. Advertising and Featured Listings

Artdez Studio may display promotional banners, featured artworks, or curated collections within the Site. These placements are determined solely by Artdez Studio.

We do not accept paid advertisements from external sellers, nor do we display sponsored listings from third parties.

3. Purchases of Printed Works

Artdez Studio does not sell printed reproductions created by third‑party vendors or external printing companies. At present, only original artworks are offered for sale.

If Artdez Studio offers limited‑edition prints in the future, they will be produced and authenticated directly by Artdez Studio and clearly labeled as such.

4. Order Cancellations

Artdez Studio reserves the right to cancel any order if an artwork is:

• mispriced,
• out of stock,
• damaged prior to shipment,
• discontinued, or
• otherwise unavailable.

If an order is canceled, you will receive an email confirmation and will not be charged. If payment has already been processed, a full refund will be issued promptly.

5. Additional Terms

Authenticity Guarantee

All artworks sold by Artdez Studio are original pieces. No replicas, AI‑generated works, or unauthorized reproductions are sold.

Color Accuracy

Colors may vary slightly due to screen settings. This does not constitute a defect.

International Orders

Artdez Studio does not charge VAT. International buyers may be responsible for customs duties or import fees charged by their country.

Shipping Damage

If an artwork arrives damaged, notify Artdez Studio within 48 hours of delivery with photographs of the damage. We will assist with replacement, repair, or refund according to our Return Policy.

Artdez Studio – Additional Terms and Conditions

1. Sweepstakes and Promotions

Artdez Studio may occasionally operate sweepstakes, contests, or promotional events (“Promotions”). By participating, you agree to follow the official rules provided for each Promotion. If Promotion rules conflict with these Terms, the Promotion rules will apply.

2. Intellectual Property

All content on the Artdez Studio website—including artworks, images, text, and design—is protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or modify any content without written permission from Artdez Studio.

3. Copyright Policy

Artdez Studio respects copyright law and expects users to do the same. We may restrict or terminate access for users who infringe intellectual property rights.

4. External Links

The Artdez Studio website may contain links to third‑party websites. Artdez Studio is not responsible for the availability, accuracy, or content of external sites and does not endorse any third‑party resources. You assume all risk when accessing external links.

5. Termination of Access

Artdez Studio may suspend or terminate your access to the Site at any time for violation of these Terms or for any reason at our discretion. You may request account cancellation (if applicable) by contacting our support team.

6. Fees

Artdez Studio does not charge fees for browsing the Site. If fees are introduced for specific services, they will only be applied with your prior agreement. You are responsible for any applicable sales tax on purchases.

7. Payments

When purchasing artwork, you may be required to provide payment information such as card number, billing address, and shipping details. You represent that you are authorized to use the payment method provided. Payment information is processed securely and handled according to our Privacy Policy.

8. Changes to Offerings

Artdez Studio may update artwork descriptions, pricing, availability, or promotional offers at any time without notice. We may limit quantities or refuse service where necessary.

9. Disclaimers

The Artdez Studio website and its content are provided “as is,” without warranties of any kind. We do not guarantee uninterrupted access, error‑free operation, or the accuracy of displayed content. You are responsible for evaluating any information obtained through the Site.

10. Indemnity

You agree to indemnify and hold Artdez Studio harmless from claims arising from your misuse of the Site or violation of these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, Artdez Studio is not liable for indirect, incidental, or consequential damages arising from your use of the Site. Our total liability for any claim will not exceed the amount you paid for the artwork involved in that claim.

Artdez Studio – Resolution of Disputes

1. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict‑of‑law principles. Any claim or dispute will be resolved exclusively in Utah, except where arbitration applies.

2. Informal Resolution

If you have a concern or dispute, you agree to contact us first at info@artdezstudio.com and provide a written description of the issue. We will attempt to resolve the matter within 30 days. This informal process is required before pursuing arbitration or any other legal remedy.

3. Mutual Agreement to Arbitrate

By using the Artdez Studio website or purchasing artwork, you agree that any dispute that cannot be resolved informally will be settled through binding individual arbitration, unless you opt out.

Arbitration replaces the right to go to court. You and Artdez Studio waive the right to a jury trial.

The arbitrator has exclusive authority to decide issues relating to the interpretation or enforceability of this arbitration agreement.

Arbitration does not apply to claims involving intellectual property rights or requests for injunctive relief. Those claims may be brought in a Utah court.

Either party may bring qualifying claims in small‑claims court.

4. Arbitration Process

For U.S. users, arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration may be conducted based on written submissions unless the arbitrator determines a hearing is necessary. Hearings, if required, may be held by phone, video, or in person in Utah or another mutually agreed location.

The arbitrator’s decision is final and binding.

If you initiate arbitration, Artdez Studio will reimburse filing and arbitrator fees for claims under $10,000, unless the arbitrator determines the claim is frivolous.

Each party is responsible for its own legal fees unless the arbitrator rules otherwise.

5. Right to Opt Out

You may opt out of this arbitration agreement by sending a written notice within 30 days of your first purchase or first use of the Artdez Studio website.

If you opt out, Artdez Studio will also not be bound by this arbitration agreement.

6. Class Action Waiver

All arbitration must be conducted individually. Class actions, collective actions, and representative proceedings are not permitted.

If the class‑action waiver is found unenforceable for a specific claim, that claim must be brought in court, not arbitration. All other claims remain subject to individual arbitration.
